Shipping and Delivery Policy

Version: 1.0

Effective Date: 1 October 2026

Operator: Ahia Technologies Limited

Platform: Ahịa

Initial Operating Territory: Federal Republic of Nigeria

1. PURPOSE

This Shipping & Delivery Policy ("Shipping Policy") establishes the rules governing the preparation, collection, transportation, delivery, tracking, failed delivery, loss, damage, and related handling of physical products purchased through Ahịa.

The purpose of this Policy is to establish a predictable delivery system while clearly allocating responsibilities among:

• Customers;

• Vendors;

• Ahịa;

• Couriers; and

• other authorised Delivery Partners.

This Policy forms part of the Ahịa Terms of Service.

Where this Policy conflicts with mandatory Nigerian law, the mandatory legal requirement prevails.

2. SCOPE

This Policy applies to physical goods purchased through Ahịa.

It applies to:

• ordinary retail products;

• products sold by physical stores;

• products sold by informal or online Vendors;

• restaurant and fast-food orders;

• food and other eligible consumables;

• used, second-hand, refurbished, and reconditioned goods;

• heavy or fragile goods; and

• other physical goods Ahịa permits to be sold through the Platform.

Digital products and services are outside the scope of this Policy unless Ahịa expressly states otherwise.

3. AHỊA'S DELIVERY MODEL

Ahịa operates a coordinated marketplace delivery model.

At launch, the standard process is:

Customer Order → Payment Confirmation → Vendor Preparation → Vendor Fulfilment Confirmation → Courier Collection → Transportation → Customer Delivery → Delivery Confirmation → Vendor Settlement

Ahịa coordinates the delivery process but does not necessarily perform the physical transportation itself.

At launch, Ahịa uses third-party delivery partners.

Ahịa may subsequently:

• employ its own Couriers;

• operate its own logistics fleet;

• use multiple Courier companies;

• establish regional delivery hubs;

• introduce specialised logistics providers;

• introduce air-cargo transportation; or

• combine internal and third-party delivery infrastructure.

4. DELIVERY PARTIES

4.1 Ahịa

Ahịa is responsible for coordinating the Platform's delivery process, including where applicable:

• communicating delivery information;

• coordinating Vendor and Courier activity;

• assigning or selecting Delivery Partners;

• transmitting relevant delivery information;

• monitoring delivery status;

• facilitating delivery-related support;

• managing delivery charges displayed through the Platform;

• assisting with delivery disputes; and

• maintaining relevant delivery records.

Ahịa does not assume responsibility for every act or omission of an independent Courier.

4.2 Vendor

The Vendor is responsible for:

• preparing the correct product;

• confirming that the product is ready;

• packaging the product appropriately;

• ensuring the package is suitable for the intended journey;

• providing accurate collection information;

• providing required handling instructions;

• complying with product-specific transport requirements;

• ensuring the product is lawful to transport;

• handing the correct package to the Courier; and

• complying with the Vendor Agreement.

4.3 Courier / Delivery Partner

The Courier or Delivery Partner is responsible for matters within its custody and operational control, including:

• collecting the correct parcel;

• transporting the parcel with reasonable care;

• following applicable delivery instructions;

• attempting delivery;

• obtaining appropriate delivery confirmation;

• reporting delivery problems;

• protecting the parcel while in its custody; and

• reporting loss, theft, or damage.

4.4 Customer

Customers are responsible for:

• providing an accurate delivery address;

• providing accurate contact information;

• being reasonably available to receive delivery;

• providing safe and lawful access where required;

• inspecting the delivered package promptly;

• reporting delivery problems promptly;

• not intentionally obstructing delivery;

• not providing fraudulent delivery information; and

• complying with applicable delivery instructions.

5. ORDER-TO-DELIVERY PROCESS

5.1 Customer Places Order

The Customer selects eligible products and completes checkout.

The Customer must provide the information required for payment and delivery.

5.2 Payment Confirmation

Ahịa confirms the authenticity and successful receipt of the Customer's payment through its authorised administrative/payment systems.

An Order proceeds into the fulfilment process following payment confirmation.

5.3 Vendor Preparation

The Vendor receives the confirmed Order and prepares the products.

The Vendor must:

• select the correct products;

• verify quantities;

• inspect products before dispatch;

• package them appropriately;

• confirm fulfilment readiness; and

• make the package available for collection.

5.4 Courier Assignment

Ahịa coordinates an appropriate Courier or Delivery Partner.

The applicable Courier receives the collection instructions and proceeds to the Vendor.

5.5 Collection

The Courier collects the package from the Vendor.

Where appropriate, Ahịa or the Courier may record:

• collection time;

• Vendor confirmation;

• parcel identification;

• photographs;

• package condition;

• quantity;

• tracking information; and

• other relevant information.

5.6 Transportation

The Courier transports the package to the Customer's designated delivery location.

The Courier may use appropriate transportation methods based on:

• product type;

• distance;

• package size;

• weight;

• fragility;

• environmental conditions;

• road conditions; and

• other operational requirements.

5.7 Delivery

The Courier attempts delivery to the address supplied by the Customer.

Delivery may be confirmed through methods including:

• Customer acknowledgement;

• delivery code;

• electronic confirmation;

• photograph;

• signature;

• timestamp;

• GPS/location information;

• Courier confirmation; or

• another reasonable delivery record.

6. DELIVERY TIMES

6.1 Vendor Fulfilment Time

The Vendor's stated fulfilment period is the expected period required to prepare the Order before Courier collection.

Vendors must not intentionally advertise fulfilment periods they cannot reasonably meet.

6.2 Delivery Estimate

Delivery estimates displayed by Ahịa are estimates unless expressly stated to be guaranteed.

Delivery time may depend upon:

• Vendor preparation;

• destination;

• traffic;

• weather;

• road conditions;

• Courier availability;

• product type;

• distance;

• public holidays;

• infrastructure;

• security conditions;

• regulatory requirements; and

• other circumstances outside Ahịa's reasonable control.

6.3 Vendor Delay

Where a Vendor takes approximately twice its stated fulfilment period to fulfil or dispatch an Order without an approved reason, Ahịa may:

• cancel the Order;

• refund the Customer;

• flag the Vendor;

• restrict the Vendor;

• suspend the Vendor; or

• take further enforcement action.

6.4 Delivery Delay

Where a material delivery delay occurs, Ahịa will make reasonable efforts to notify or update the Customer where appropriate.

A delivery estimate does not authorise indefinite delay.

Where delivery cannot reasonably be completed, Ahịa may cancel the Order and process the applicable refund.

This Policy does not remove any statutory right arising from delayed or failed delivery.

7. DELIVERY FEES

7.1 Launch Delivery Fee

At launch, Ahịa's standard delivery fee is:

₦3,000

This is the standard launch rate and may be modified as Ahịa's logistics network develops.

7.2 Additional Charges

Additional delivery charges may apply where an Order requires exceptional handling or transportation, including:

• unusually heavy goods;

• fragile goods;

• oversized goods;

• special handling;

• specialised transportation;

• unusual collection requirements;

• exceptional distance;

• multiple delivery attempts where the Customer is responsible; or

• other disclosed circumstances.

Any mandatory delivery charge applicable to the Customer should be communicated before the Customer completes payment.

7.3 Future Delivery Pricing

Ahịa may introduce different delivery pricing models, including:

• distance-based pricing;

• weight-based pricing;

• zone pricing;

• vehicle-specific pricing;

• same-day delivery;

• scheduled delivery;

• express delivery;

• regional delivery;

• inter-state delivery;

• air cargo;

• specialised freight; and

• other logistics models.

Any applicable charge will be communicated according to the applicable checkout and pricing process.

8. DELIVERY INFORMATION

Customers must provide sufficiently accurate information to allow delivery.

Depending on the delivery location, this may include:

• recipient name;

• telephone number;

• state;

• city;

• neighbourhood;

• street;

• building number;

• apartment/unit;

• landmark;

• delivery instructions; and

• other information reasonably necessary for successful delivery.

Ahịa may request additional information where necessary.

9. ADDRESS ERRORS

9.1 Customer-Provided Incorrect Address

Customers are responsible for the accuracy of their delivery information.

If an incorrect address is supplied, Ahịa or the Courier may attempt to contact the Customer.

Where the parcel can reasonably be recovered and returned, the Customer may be eligible for a refund subject to applicable cancellation and return rules.

Where the parcel cannot reasonably be recovered because of the Customer's incorrect information, the Customer may bear the resulting loss or additional delivery costs to the extent permitted by law.

9.2 Address Changes

A Customer may request an address change before delivery.

Ahịa may approve or reject an address change depending on:

• the stage of delivery;

• Courier location;

• additional distance;

• security;

• product type;

• delivery feasibility; and

• applicable additional charges.

An address change after dispatch may result in additional delivery charges.

10. FAILED DELIVERY

A delivery may fail because:

• the Customer is unavailable;

• the Customer provides an incorrect address;

• the Customer cannot be contacted;

• access to the destination is unavailable;

• the Customer refuses delivery;

• the Courier cannot safely complete delivery;

• the Vendor provided incorrect collection information;

• the package is damaged;

• a transport disruption occurs;

• a security concern arises; or

• another circumstance prevents delivery.

Ahịa will make reasonable efforts to determine the appropriate next step.

11. CUSTOMER UNAVAILABLE

Where a Customer cannot be reached at the delivery location, the Courier may attempt to contact the Customer through the contact information provided.

Depending on the circumstances, the Courier may:

• wait for a reasonable period;

• attempt another delivery;

• return the parcel;

• contact Ahịa; or

• follow the Delivery Partner's approved failed-delivery procedure.

Additional delivery charges may apply where the failed delivery resulted from the Customer's actions or omissions and such charges are disclosed and legally permissible.

12. CUSTOMER REFUSAL OF DELIVERY

12.1 Ordinary Refusal

A Customer should not refuse delivery merely to circumvent Ahịa's cancellation or return procedures.

Where a Customer refuses an otherwise conforming product, the transaction may be treated as a cancellation or return.

Applicable delivery or cancellation costs may be deducted from the refund where lawfully permitted and properly disclosed.

12.2 Defective or Incorrect Product

A Customer may refuse delivery where the product is visibly:

• damaged;

• materially incorrect;

• materially different from the Listing;

• unsafe; or

• otherwise subject to a valid legal or contractual rejection right.

Where the problem is attributable to the Vendor or Courier, the Customer should not be charged the ordinary cost of correcting that failure.

13. DELIVERY DAMAGE

13.1 Vendor Packaging Damage

Where damage results from inadequate or improper Vendor packaging, the Vendor is responsible to the extent established by the applicable circumstances and law.

Ahịa may recover applicable amounts from the Vendor through the Vendor settlement process where contractually and legally permitted.

13.2 Courier Damage

Where a package is properly packaged and damage occurs through the Courier's handling or transportation, responsibility will ordinarily lie with the applicable Courier/Delivery Partner, subject to the applicable contractual arrangement.

Ahịa may assist the Customer in pursuing the appropriate resolution.

13.3 Customer-Caused Damage

A Customer may be responsible for damage occurring after successful delivery where the damage results from the Customer's own acts or omissions.

This does not affect any applicable statutory consumer remedy.

14. LOST PARCELS

A parcel may be treated as lost where reasonable investigation indicates that it cannot be located or delivered.

Where a parcel is lost while under the responsibility or custody of a Courier, the applicable Courier/Delivery Partner is responsible in accordance with its agreement with Ahịa and applicable law.

Ahịa may:

• investigate the loss;

• contact the Courier;

• obtain delivery records;

• seek recovery from the Courier;

• cancel the transaction;

• refund the Customer; and

• take further action against the Courier.

The Customer should not be required to bear the cost of a parcel lost through Courier fault.

15. STOLEN PARCELS

Where a parcel is stolen while under the custody or operational responsibility of the Courier, the applicable Courier/Delivery Partner will be responsible subject to its contractual obligations and applicable law.

Where theft occurs because a Customer intentionally provides false delivery information, directs a Courier to an unsafe or unauthorised location, or otherwise materially contributes to the loss, responsibility may be allocated accordingly.

Ahịa may investigate suspected delivery fraud and may report suspected criminal conduct to the appropriate authorities.

16. PROOF OF DELIVERY

Ahịa and its Delivery Partners may maintain delivery records including:

• order number;

• parcel identification;

• collection timestamp;

• delivery timestamp;

• Courier identity;

• delivery status;

• photographs;

• delivery code;

• signature;

• communications;

• location information;

• Customer confirmation; and

• other relevant records.

These records may be used to investigate delivery disputes.

17. INSPECTION AT DELIVERY

Customers are encouraged to inspect packages promptly upon delivery.

Where practical, Customers should verify:

• package condition;

• product identity;

• quantity;

• visible damage; and

• obvious discrepancies.

A Customer's failure to immediately inspect a package does not automatically waive statutory consumer rights.

18. FOOD AND PERISHABLE GOODS

Food, prepared meals, fresh produce, refrigerated products, frozen products, and other perishable goods may be subject to specialised delivery requirements.

Vendors are responsible for ensuring appropriate:

• packaging;

• temperature control;

• hygiene;

• handling;

• labelling;

• expiry information;

• allergen information where applicable; and

• transport conditions.

Ahịa may impose additional delivery restrictions on perishable goods.

Because of their nature, certain perishable goods may not qualify for ordinary change-of-mind returns.

This does not remove remedies arising from unsafe, spoiled, defective, incorrectly supplied, or otherwise non-conforming goods.

19. FRAGILE GOODS

Vendors must clearly identify goods that require special handling.

Examples include:

• glass;

• ceramics;

• delicate electronics;

• screens;

• laboratory equipment;

• sensitive instruments;

• artwork;

• mirrors; and

• other easily damaged products.

Ahịa may apply an additional handling or delivery charge where appropriate.

Vendors remain responsible for packaging suitable for the intended transportation.

20. HEAVY AND OVERSIZED GOODS

Heavy or oversized products may require:

• additional delivery charges;

• larger vehicles;

• multiple Couriers;

• specialised equipment;

• scheduled delivery;

• additional handling;

• special access arrangements; or

• separate logistics providers.

Customers will be informed of applicable additional charges where required before payment.

Vendors must provide accurate weight and dimensional information where requested.

21. RESTRICTED DELIVERY PRODUCTS

Certain products may require specialised transportation or may be prohibited from ordinary delivery.

Examples may include:

• regulated medical products;

• hazardous materials;

• chemicals;

• flammable materials;

• temperature-sensitive products;

• controlled products;

• regulated alcohol;

• livestock; and

• other products subject to transportation restrictions.

Ahịa may prohibit or restrict delivery of a product even where the product is otherwise permitted for sale.

Vendors remain responsible for obtaining any licences, approvals, permits, packaging, and transportation authorisations required by law.

22. ALCOHOL DELIVERY

Where alcohol is permitted on Ahịa, delivery is subject to applicable Nigerian law and Ahịa's requirements.

A Courier may require age verification or identification before completing delivery.

Where the recipient cannot establish the required eligibility, delivery may be refused.

A Customer must not instruct a Courier to circumvent an age-verification requirement.

23. INTER-STATE DELIVERY

Ahịa may facilitate delivery between different Nigerian states.

Inter-state delivery may be subject to:

• destination availability;

• transportation restrictions;

• product restrictions;

• additional charges;

• longer delivery periods;

• regulatory requirements;

• security considerations; and

• Courier availability.

Certain products may not be eligible for inter-state delivery.

24. AIR CARGO AND FUTURE LONG-DISTANCE LOGISTICS

Ahịa may introduce air-cargo delivery as part of its future logistics network.

A potential air-cargo workflow may include:

Vendor → Ahịa/Delivery Rider Collection → Airport → Air Transportation → Destination City → Last-Mile Courier/Transport → Customer

Air-cargo delivery may be subject to:

• airline requirements;

• airport requirements;

• aviation regulations;

• cargo restrictions;

• packaging requirements;

• weight and dimensional restrictions;

• dangerous-goods rules;

• additional charges;

• customs requirements where applicable; and

• destination restrictions.

Air-cargo service will only be offered where the product and route are legally and operationally eligible.

25. RETURNS AND DELIVERY

Shipping obligations continue to apply when a product is returned.

25.1 Defective, Unsafe, or Incorrect Goods

Where a return is caused by:

• defective goods;

• unsafe goods;

• materially incorrect goods;

• material misrepresentation;

• Vendor error;

• Vendor packaging failure; or

• Courier damage,

the responsible party bears the applicable return/delivery cost to the extent required by the applicable contractual arrangement and law.

25.2 Change-of-Mind Returns

Where a change-of-mind return is permitted, the Customer ordinarily bears the applicable return-delivery cost.

This does not affect mandatory statutory return rights.

26. REFUNDS FOLLOWING DELIVERY FAILURE

Where an Order cannot be delivered and the Customer is entitled to a refund, Ahịa will process the refund under the Returns and Refund Policy.

Ahịa's standard operational objective is to process an approved refund within 24 hours of the valid refund/return claim being accepted.

The actual time for funds to appear in the Customer's account may depend on the Customer's bank or payment provider.

27. DELIVERY AND VENDOR SETTLEMENT

Ahịa may retain Vendor transaction proceeds for approximately 24 hours following confirmed delivery before settlement.

This period allows Ahịa to account for:

• delivery confirmation;

• immediate refund requests;

• delivery disputes;

• fraud indicators;

• damage reports;

• cancellation;

• payment reversals; and

• other transaction issues.

Settlement does not eliminate a Vendor's continuing obligations concerning defects, refunds, warranties, safety, or other claims.

28. DELIVERY DISPUTES

A Customer or Vendor may report a delivery dispute through Ahịa customer support.

A delivery investigation may consider:

• order records;

• payment records;

• Vendor confirmation;

• collection records;

• package photographs;

• Courier records;

• GPS/location data;

• delivery confirmation;

• communications;

• Customer statements;

• Vendor statements; and

• other relevant evidence.

Ahịa may request additional information from any party.

29. FRAUDULENT DELIVERY CLAIMS

Users must not make fraudulent or deliberately misleading claims concerning:

• non-delivery;

• false delivery;

• stolen parcels;

• damaged products;

• missing items;

• incorrect items;

• false addresses;

• false returns;

• delivery refusal; or

• other delivery events.

Fraudulent claims may result in:

• denial of the claim;

• recovery of improperly issued refunds;

• restriction;

• suspension;

• termination;

• withholding of applicable funds;

• reporting to payment providers; or

• reporting to law enforcement.

30. DELIVERY COMMUNICATIONS

Ahịa and its Delivery Partners may contact Customers regarding:

• delivery status;

• collection;

• arrival;

• address clarification;

• failed delivery;

• delivery instructions;

• identification requirements;

• delivery delays;

• refunds;

• cancellations; and

• other transaction-related matters.

These communications may be made by:

• telephone;

• SMS;

• WhatsApp;

• email;

• push notification;

• Platform notification; or

• other appropriate channels.

Delivery-related personal information must be used only for legitimate delivery, support, security, legal, or other authorised purposes.

31. CUSTOMER PRIVACY DURING DELIVERY

Ahịa may disclose necessary Customer information to a Vendor or Courier where required to fulfil an Order.

Such information may include:

• recipient name;

• delivery address;

• telephone number;

• delivery instructions;

• Order information; and

• information reasonably necessary to complete delivery.

Vendors and Delivery Partners must not use Customer information obtained through Ahịa for unauthorised purposes, including unsolicited off-platform marketing or independent customer acquisition.

Processing of personal information remains subject to Ahịa's Privacy and Data Protection Policy and applicable Nigerian data-protection law. The NDPA requires personal data to be processed fairly, lawfully, transparently, securely, and for specified legitimate purposes.

32. OFF-PLATFORM DELIVERY ARRANGEMENTS

Customers and Vendors must not use Ahịa's delivery coordination system to circumvent Ahịa and independently arrange transactions or deliveries for the purpose of avoiding applicable Platform rules or charges.

Vendors must not use delivery information obtained through Ahịa to independently solicit Customers outside the Platform.

Customers must not use a Courier's contact information to arrange unrelated transactions or deliveries through the Courier in circumvention of Ahịa.

33. COURIER PERFORMANCE

Ahịa may monitor Delivery Partner performance.

Performance factors may include:

• delivery completion rate;

• delivery time;

• cancellation rate;

• parcel loss;

• parcel damage;

• customer complaints;

• theft reports;

• communication;

• safety;

• compliance; and

• other operational metrics.

Ahịa may suspend or terminate a Delivery Partner where performance, safety, fraud, regulatory, or contractual concerns arise.

34. COURIER SAFETY

Couriers must comply with applicable transportation and safety requirements.

A Courier may refuse or pause a delivery where:

• the destination presents an unreasonable safety risk;

• the package appears dangerous or unlawful;

• the Customer behaves threateningly;

• the package does not match the declared goods;

• transportation conditions are unsafe; or

• completion would require unlawful conduct.

Ahịa may provide alternative delivery arrangements where reasonably possible.

35. FORCE MAJEURE AND MAJOR DISRUPTIONS

Delivery may be delayed or interrupted by circumstances beyond reasonable control, including:

• flooding;

• severe weather;

• fire;

• natural disaster;

• war;

• civil unrest;

• terrorism;

• government restrictions;

• strikes;

• road closures;

• major traffic disruptions;

• telecommunications failures;

• power failures;

• major cyber incidents;

• transport-system failures;

• security incidents;

• public-health emergencies; or

• other comparable events.

Ahịa will make reasonable efforts to provide updates where the disruption materially affects an Order.

Where fulfilment becomes impracticable, Ahịa may cancel the Order and process any applicable refund.

36. DELIVERY RECORDS

Ahịa may retain records relating to deliveries for the periods required by:

• applicable law;

• regulatory requirements;

• accounting obligations;

• dispute resolution;

• fraud prevention;

• security;

• contractual requirements; and

• legitimate business purposes.

• full price disclosure;

• cancellation rights in applicable circumstances;

• rights to return qualifying goods;

• protection against misleading representations;

• fair dealing;
