1. INTRODUCTION

This Acceptable Use Policy ("AUP" or "Policy") establishes the standards governing acceptable and prohibited use of Ahịa, an online marketplace operated by Ahia Technologies Limited ("Ahịa", "we", "us", or "our").

Ahịa provides a marketplace through which consumers, vendors, retailers, restaurants, food businesses, advertisers, delivery partners, business partners and other permitted participants may interact in connection with the discovery, promotion, purchase, sale and delivery of lawful goods.

This Policy is intended to protect:

• consumers and other users;

• vendors and other commercial participants;

• delivery and service partners;

• Ahịa personnel and contractors;

• intellectual-property rights holders;

• the integrity and security of the Ahịa platform;

• public health and safety; and

• the lawful and trustworthy operation of electronic commerce.

The Policy establishes standards that may be stricter than the minimum requirements of applicable law. Nothing in this Policy is intended to remove, restrict, waive or otherwise diminish any right or protection that cannot lawfully be excluded or waived under applicable law.

2. SCOPE AND APPLICATION

2.1 Persons covered

This Policy applies to every person or entity that:

a. accesses or browses Ahịa;

b. purchases or attempts to purchase goods through Ahịa;

c. sells, offers, advertises or attempts to sell goods through Ahịa;

d. operates a restaurant, fast-food business, food business, retail store or other permitted commercial operation on Ahịa;

e. provides delivery, logistics or related services through or in connection with Ahịa;

f. purchases or provides advertising or promotional services through Ahịa;

g. interacts with Ahịa personnel, vendors, customers, couriers or other participants;

h. uploads, submits, publishes or otherwise provides information, content, listings, photographs, descriptions, reviews or other material to Ahịa; or

i. otherwise uses any Ahịa website, application, service, interface, communication channel, system or functionality.

For purposes of this Policy, such persons and entities are collectively referred to as "Users."

2.2 No customer account required

A customer does not presently need to create an Ahịa account in order to make a purchase.

Accordingly, the obligations in this Policy apply to customers whether or not they maintain an Ahịa account or persistent user profile.

Where Ahịa subsequently introduces customer accounts or other identity mechanisms, this Policy will continue to apply.

2.3 Vendors

Vendors are additionally subject to the requirements contained in the Ahịa Vendor Agreement and any applicable category-specific requirements.

Where this Policy conflicts with a mandatory legal requirement, the mandatory legal requirement prevails.

Where this Policy imposes a stricter platform requirement that is legally permissible, the stricter Ahịa requirement applies.

3. ACCEPTABLE USE

Users may use Ahịa only for lawful, genuine and legitimate commercial or consumer purposes.

Permitted use includes, subject to this Policy and other Ahịa terms:

• browsing lawful products;

• purchasing lawful goods;

• selling lawful goods;

• operating lawful retail businesses;

• operating lawful restaurants and food businesses;

• advertising lawful products and services;

• arranging permitted delivery and logistics;

• communicating with Ahịa for customer-service purposes;

• submitting genuine reviews and feedback;

• participating in lawful Ahịa promotions and loyalty programmes; and

• using Ahịa features in the manner for which they are intended.

Users must provide truthful, accurate and non-misleading information whenever Ahịa requires information for the purpose of conducting a transaction, verifying identity, maintaining marketplace integrity, satisfying legal requirements or providing services.

4. GENERAL PROHIBITED CONDUCT

Users must not use Ahịa to engage in, facilitate, encourage, solicit, conceal or assist any unlawful, fraudulent, deceptive, abusive, harmful or otherwise prohibited activity.

Without limitation, Users must not:

4.1 Fraud and deception

• engage in fraud or attempted fraud;

• impersonate another person, business, brand or organisation;

• create a fictitious business identity;

• provide materially false or misleading information;

• conceal material facts concerning a product or transaction;

• engage in bait-and-switch conduct;

• manipulate prices or transaction information deceptively;

• create fake sales or false scarcity;

• falsely claim that an item is discounted;

• falsely represent an item as new, genuine, original, official or authorised;

• sell an item materially different from the item advertised;

• misrepresent the condition, origin, quality, quantity or characteristics of a product;

• manipulate delivery or transaction records;

• make fraudulent refund or return claims; or

• otherwise deceive another User or Ahịa.

4.2 Fraudulent transactions

Users must not:

• use stolen payment credentials;

• use another person's payment method without authorisation;

• conduct fraudulent chargebacks;

• intentionally structure transactions to evade lawful controls;

• create transactions that have no genuine commercial purpose;

• manipulate orders for financial or promotional gain;

• use fraudulent delivery claims;

• falsely claim non-delivery;

• return a different item from the item purchased;

• intentionally damage goods and then seek a refund on the basis of the damage; or

• assist another person in committing any of these acts.

4.3 Marketplace manipulation

Users must not manipulate the operation, reputation or ranking of Ahịa, including by:

• creating fake reviews;

• purchasing or soliciting fake reviews;

• artificially inflating ratings;

• suppressing genuine negative reviews through deception;

• manipulating search results;

• manipulating product rankings;

• artificially generating orders;

• creating multiple identities to circumvent restrictions;

• manipulating promotional campaigns;

• exploiting technical vulnerabilities to obtain benefits; or

• otherwise interfering with the integrity of Ahịa's marketplace.

5. OFF-PLATFORM TRANSACTIONS AND CONTACT INFORMATION

Ahịa is designed to facilitate transactions through its platform.

Users must not use Ahịa to circumvent Ahịa's transaction systems, fees, protections, monitoring or commercial controls.

A User must not intentionally redirect a customer or transaction acquired through Ahịa to an external transaction channel for the purpose of avoiding Ahịa's applicable systems, fees, safeguards or policies.

Users must not place or display in Ahịa listings, advertisements, reviews, messages or other platform content:

• personal telephone numbers;

• WhatsApp numbers;

• personal email addresses;

• social-media handles;

• external marketplace links;

• external payment instructions;

• bank-account details;

• QR codes directing users to external payment systems;

• cryptocurrency-wallet addresses; or

• other contact or payment information intended to move an Ahịa transaction outside the platform.

Ahịa may remove such information without notice.

This restriction does not prevent Ahịa from communicating with Users through contact information legitimately collected or processed by Ahịa for customer service, delivery, verification, safety, legal compliance or other authorised purposes.

6. PRODUCT AND CATEGORY REQUIREMENTS

Ahịa presently permits lawful products within the following principal categories:

• Electronics;

• Fashion;

• Beauty & Health;

• Home;

• Food;

• Handmade;

• Books;

• Sports;

• Toys;

• Automotive; and

• Office.

Ahịa may also permit lawful listings from:

• physical retail stores;

• restaurants;

• fast-food businesses;

• food vendors;

• informal businesses;

• other lawful commercial vendors; and

• other categories subsequently authorised by Ahịa.

Ahịa does not presently operate as a marketplace for services or digital products unless expressly authorised by Ahịa.

7. PROHIBITED PRODUCTS AND ACTIVITIES

The following products and activities are prohibited on Ahịa regardless of whether a User attempts to describe, disguise, bundle or otherwise present them as another type of product.

7.1 Firearms, explosives and prohibited weapons

The following are prohibited:

• firearms;

• ammunition;

• explosives;

• grenades;

• bombs;

• prohibited weapons;

• unlawful weapon components;

• unlawful weapon accessories;

• weapon-conversion devices;

• devices intended to circumvent weapons restrictions; and

• any other weapon or weapon-related item whose sale or possession is unlawful.

Lawful ordinary knives and blades

Ordinary knives and blades may be sold where their sale, possession and intended use are lawful.

This may include lawful household, culinary, agricultural, craft, utility or similar implements.

A product that constitutes a prohibited weapon under applicable law remains prohibited notwithstanding its description as a household or utility product.

8. DRUGS, MEDICAL PRODUCTS, CHEMICALS AND HEALTH PRODUCTS

Ahịa prohibits the unlawful sale, distribution, advertising or promotion of:

• illegal drugs;

• controlled substances where the required legal authorisation is absent;

• counterfeit medicines;

• unregistered or unlawfully marketed medicines;

• prescription medicines where the applicable legal requirements for sale or dispensing are not satisfied;

• unapproved medical devices;

• unlawfully marketed diagnostic products;

• unlawful medical products;

• dangerous or prohibited chemicals;

• unlawfully marketed pesticides;

• substances prohibited by applicable law; and

• products falsely represented as medicines or treatments.

Where a product is regulated by NAFDAC, SON or another competent authority, the Vendor must possess and maintain all registrations, approvals, licences, certificates, permits and other authorisations required by law.

Ahịa may require evidence of such compliance before permitting a product to be listed or sold.

9. COSMETICS, SUPPLEMENTS, HERBAL PRODUCTS AND HEALTH CLAIMS

Permitted cosmetics, supplements, vitamins, herbal products and related health products must comply with all applicable Nigerian regulatory requirements.

Vendors must not make false, misleading, unsubstantiated or unauthorised claims concerning:

• treatment;

• diagnosis;

• prevention;

• cure;

• medical effectiveness;

• therapeutic benefits;

• disease prevention;

• disease treatment; or

• other health outcomes.

A Vendor must not market a cosmetic, food, supplement, herb or other product as a medicine merely by making medical claims concerning it.

Where a product requires regulatory registration or approval, the Vendor must obtain and maintain the applicable registration or approval before offering it for sale.

10. ALCOHOL

Ahịa permits the sale of lawful alcoholic beverages subject to all applicable legal requirements.

Alcoholic products must:

• be lawfully manufactured, imported, distributed and sold;

• comply with applicable registration and labelling requirements;

• be accurately represented;

• comply with applicable advertising restrictions; and

• be sold only to persons who satisfy the applicable minimum legal age.

For Ahịa's platform, alcoholic beverages are restricted to customers 18 years of age or older.

Ahịa may require government-approved identification or another legally appropriate age-verification mechanism before completing or releasing an alcohol transaction.

A Vendor must not:

• sell alcohol to a person who cannot establish the required age;

• knowingly facilitate a purchase by a minor;

• misrepresent an alcoholic product as non-alcoholic;

• falsify age-verification information; or

• circumvent Ahịa's age-verification controls.

11. TOBACCO, NICOTINE AND VAPING PRODUCTS

Ahịa does not permit:

• cigarettes;

• cigars;

• tobacco products;

• nicotine products;

• vaping devices intended for nicotine consumption;

• e-cigarettes;

• nicotine liquids;

• nicotine pouches; or

• related prohibited nicotine products.

12. GAMBLING AND BETTING

Ahịa does not permit:

• gambling services;

• casino services;

• betting services;

• sports-betting services;

• lottery products or services;

• gambling accounts;

• betting accounts;

• gambling-related payment instruments; or

• advertisements promoting prohibited gambling or betting activity.

13. SEXUAL AND ADULT CONTENT

Ahịa prohibits:

• pornography;

• explicit sexual content;

• sexual services;

• prostitution or escort services;

• sexual exploitation;

• sexualised services involving minors;

• trafficking-related content;

• sexually explicit advertisements; and

• adult sexual products or services prohibited by Ahịa.

Any material involving sexual exploitation of a child is strictly prohibited and may be reported to appropriate authorities.

14. POLITICAL CONTENT

Ahịa is a commercial marketplace and does not permit political content, political campaigning, political solicitation or political advertising through the platform.

Users must not use Ahịa to:

• campaign for or against a political candidate;

• promote or oppose a political party;

• promote or oppose a political office-holder;

• solicit political donations;

• sell political campaign services;

• distribute political propaganda;

• conduct political fundraising;

• purchase political advertising; or

• use Ahịa's marketplace infrastructure for political mobilisation.

This restriction does not prevent Ahịa from complying with lawful governmental, regulatory or judicial requirements.

15. ANIMALS, WILDLIFE AND ANIMAL PRODUCTS

Lawful animals and animal-related products may be sold where permitted by applicable law.

Permitted examples may include:

• lawful pets;

• livestock;

• farm animals;

• pet food;

• animal feed;

• lawful agricultural animal products; and

• other lawful animal-related products.

15.1 Live animals

Live animals offered through Ahịa must be legally saleable and transported in accordance with applicable animal-welfare, veterinary, environmental and other requirements.

Live animal listings are restricted to lawful livestock, farm animals and other categories expressly authorised by Ahịa.

15.2 Protected wildlife

Ahịa prohibits:

• endangered species;

• illegally captured wildlife;

• illegally trafficked wildlife;

• protected wildlife sold without required authorisation;

• illegal wildlife products;

• illegal ivory;

• products derived from protected species;

• products violating applicable CITES obligations; and

• any wildlife transaction prohibited by Nigerian law.

Ivory or other regulated wildlife products may only be listed where the Vendor can demonstrate all licences, permits and legal authorisations required by applicable law.

15.3 Animal-derived traditional medicines

Animal-derived traditional medicines are prohibited on Ahịa.

16. COUNTERFEIT, PIRATED AND STOLEN GOODS

Ahịa maintains a zero-tolerance policy toward counterfeit goods.

Users must not list, advertise, sell, purchase for resale, distribute or promote counterfeit or unauthorised goods.

This includes counterfeit:

• branded products;

• luxury goods;

• electronics;

• medicines;

• cosmetics;

• food products;

• certificates;

• official documents;

• identification documents;

• currency;

• software;

• media;

• spare parts; and

• other protected or regulated products.

Users must not knowingly sell stolen property or property unlawfully obtained.

17. COPYRIGHT AND OTHER INTELLECTUAL PROPERTY

Users must only upload, publish, advertise or sell content and products that they are legally entitled to use, reproduce, distribute, advertise or sell.

This includes:

• photographs;

• product descriptions;

• logos;

• trademarks;

• books;

• music;

• films;

• software;

• artwork;

• designs;

• videos;

• product packaging;

• digital materials; and

• other intellectual property.

The sale or distribution of pirated books, films, music, software, academic materials or other copyrighted works without appropriate authorisation is prohibited.

Ahịa may remove allegedly infringing material upon receipt of a sufficiently substantiated complaint or lawful notice and may implement applicable notice-and-takedown procedures.

Ahịa may also restrict or terminate accounts belonging to repeat intellectual-property infringers.

18. REVIEWS, RATINGS AND USER-GENERATED CONTENT

Reviews and ratings must reflect genuine experiences.

Users must not:

• fabricate reviews;

• submit reviews for transactions that did not occur;

• purchase reviews;

• sell reviews;

• threaten another person to obtain a review;

• manipulate ratings;

• impersonate another reviewer;

• submit multiple reviews for the purpose of manipulating a listing;

• intentionally publish false factual allegations;

• publish confidential personal information; or

• use reviews to conduct harassment, threats, discrimination or commercial sabotage.

Ahịa may remove reviews or other content that violate this Policy or applicable law.

19. HARASSMENT, THREATS AND DISCRIMINATION

Users must treat other Users and Ahịa personnel lawfully and respectfully.

Prohibited conduct includes:

• harassment;

• bullying;

• threats;

• intimidation;

• stalking;

• extortion;

• blackmail;

• abusive conduct;

• targeted humiliation;

• discriminatory conduct;

• hateful conduct;

• threats of physical violence;

• threats against Ahịa employees or contractors; and

• attempts to encourage others to engage in such conduct.

Ahịa may immediately suspend or terminate access where conduct presents a safety risk.

20. EXTREMIST, TERRORIST AND CRIMINAL CONTENT

Ahịa prohibits the use of its platform to promote, facilitate, recruit for, finance or materially support terrorism, violent extremism or organised criminal activity.

Users must not use Ahịa to:

• solicit funds for terrorist or extremist activity;

• distribute terrorist propaganda;

• recruit persons into terrorist organisations;

• sell terrorist or extremist merchandise;

• facilitate organised criminal activity;

• provide instructions intended to facilitate serious criminal conduct; or

• conceal proceeds of criminal activity.

Ahịa may cooperate with competent authorities where legally required or otherwise permitted.

21. PRODUCT SAFETY AND REGULATORY COMPLIANCE

Every Vendor is responsible for ensuring that products offered through Ahịa are:

• lawful;

• genuine;

• safe;

• accurately described;

• appropriately packaged;

• properly labelled where required;

• suitable for their represented purpose;

• compliant with applicable Nigerian standards;

• compliant with applicable regulatory requirements; and

• legally permitted to be sold.

A Vendor must not list a product merely because the product is available elsewhere in the market.

Where a product requires registration, certification, approval, licensing or other regulatory authorisation, the Vendor must obtain the required authorisation.

Ahịa may require documentary evidence of compliance.

22. USED, SECOND-HAND AND RECONDITIONED GOODS

Used, second-hand and reconditioned products are permitted where otherwise lawful.

However, the Vendor must clearly and accurately disclose the product's condition.

A Vendor must not represent:

• a used product as new;

• a reconditioned product as unused;

• a repaired product as factory-new;

• a refurbished product as original-new condition; or

• a materially altered product without disclosing the alteration.

Condition descriptions must be sufficiently clear for a reasonable consumer to understand what is being purchased.

23. FOOD AND RESTAURANT REQUIREMENTS

Restaurants, fast-food businesses, food vendors and other food businesses must comply with all applicable Nigerian food-safety, public-health, registration, licensing, labelling, packaging, storage and handling requirements.

Food must not be:

• adulterated;

• counterfeit;

• unlawfully imported;

• unlawfully manufactured;

• expired where sale of the expired product is prohibited;

• knowingly contaminated;

• falsely labelled;

• falsely represented;

• stored or handled in a manner creating an unlawful or unreasonable safety risk; or

• marketed using prohibited or misleading claims.

Where applicable, Vendors must provide legally required allergen, ingredient, nutritional, expiration, storage or other safety information.

Home-based food businesses may operate through Ahịa only where their operation and products comply with applicable legal requirements.

24. ADVERTISING AND PROMOTIONAL CONTENT

Advertising on Ahịa must be:

• truthful;

• accurate;

• identifiable as advertising where required;

• capable of substantiation;

• lawful;

• consistent with the advertised product;

• transparent concerning material conditions; and

• compliant with applicable regulatory requirements.

Advertisers and Vendors must not:

• make false claims;

• make materially misleading claims;

• conceal material conditions;

• advertise unavailable products as available;

• fabricate discounts;

• use fake urgency;

• impersonate another business;

• use misleading comparative advertising;

• promote prohibited products;

• make unauthorised health claims;

• promote illegal activity; or

• target children with content prohibited by applicable law.

25. SPONSORED PLACEMENT AND PAID VISIBILITY

Ahịa may permit Vendors and advertisers to purchase sponsored placement, promoted listings or other paid visibility.

Paid placement must not be represented as organic ranking where applicable disclosure is required.

Ahịa may label or otherwise identify sponsored content, paid placement or other commercial influence.

Users must not manipulate Ahịa's ranking systems through undisclosed commercial arrangements.

26. PERSONAL DATA AND PRIVACY

Users must not collect, obtain, disclose, sell, misuse or process another person's personal information through Ahịa except where legally authorised.

Users must not:

• scrape personal information from Ahịa;

• collect customer information for unauthorised purposes;

• sell customer information;

• disclose another person's private information;

• publish personal contact information without lawful basis;

• use customer information for unsolicited external marketing where prohibited;

• attempt to obtain passwords or authentication credentials; or

• otherwise misuse personal data.

Ahịa processes personal data in accordance with its Privacy/Data Protection Policy and applicable Nigerian data-protection law.

Where Ahịa processes personal data belonging to children or persons lacking legal capacity, appropriate safeguards and parental or guardian requirements may apply.

27. CYBERSECURITY AND TECHNICAL ABUSE

Users must not interfere with or compromise Ahịa's systems.

Prohibited conduct includes:

• unauthorised access;

• hacking;

• credential theft;

• phishing;

• malware;

• ransomware;

• malicious code;

• denial-of-service attacks;

• distributed denial-of-service attacks;

• exploitation of vulnerabilities;

• unauthorised penetration testing;

• bypassing access controls;

• evading security systems;

• account takeover;

• automated abuse;

• unauthorised scraping;

• unauthorised data extraction;

• reverse engineering where prohibited by applicable law or Ahịa's terms;

• interference with APIs;

• circumvention of rate limits;

• manipulation of platform code; and

• any activity designed to impair Ahịa's availability, integrity, confidentiality or security.

28. AUTOMATED ACCESS AND BOTS

Automated access to Ahịa is prohibited unless expressly authorised.

Ahịa may authorise particular bots, APIs, crawlers, integrations or automated systems subject to technical and contractual restrictions.

Authorised automation must not:

• overload Ahịa;

• collect prohibited information;

• circumvent access controls;

• reproduce protected content without permission;

• interfere with other Users; or

• violate applicable law.

29. ACCOUNT, IDENTITY AND BUSINESS INTEGRITY

Users must not:

• impersonate another person;

• use another person's identity without authorisation;

• provide materially false identity information;

• create fraudulent business identities;

• create accounts for the purpose of evading enforcement;

• create multiple accounts to abuse promotions;

• sell or transfer access credentials without authorisation;

• allow unauthorised persons to operate a verified Vendor account; or

• circumvent identity-verification requirements.

Ahịa may require additional identity, business, ownership, licensing or regulatory information whenever reasonably necessary for:

• fraud prevention;

• marketplace safety;

• regulatory compliance;

• legal compliance;

• product safety;

• identity verification;

• age verification;

• vendor verification; or

• investigation of suspected misconduct.

30. AGE REQUIREMENTS

30.1 Customers

Ahịa does not impose a universal minimum customer age for ordinary marketplace browsing or transactions.

However, minors must use Ahịa only with the knowledge, supervision and required authorisation of a parent or legal guardian where applicable.

Certain products may be subject to higher age restrictions.

Alcohol purchases are restricted to persons aged 18 or older and are subject to age verification.

30.2 Vendors

Vendor accounts are available only to persons aged 16 years or older.

A Vendor who is 16 or 17 years old must satisfy any parental or guardian consent, verification and contractual requirements imposed by Ahịa and applicable law.

Ahịa may require a parent or legal guardian to participate in or assume legal responsibility for the relevant Vendor relationship where legally necessary or appropriate.

31. LOYALTY POINTS AND PROMOTIONAL CREDITS

Ahịa points and promotional credits may be issued by Ahịa as loyalty rewards, promotional credits or other benefits under applicable programme terms.

Users must not:

• sell points;

• purchase points from another User;

• transfer points to another User;

• exchange points for cash;

• create fraudulent transactions to generate points;

• manipulate refunds to retain improperly obtained points;

• create multiple identities to obtain additional points;

• exploit technical errors to generate points; or

• otherwise abuse the points programme.

Ahịa points are not cash, a bank deposit, legal tender or an independently transferable monetary instrument.

Points may expire in accordance with the applicable Ahịa programme terms. The current standard expiry period is 90 days, unless a particular promotion expressly provides otherwise.

Ahịa reserves the right to reverse improperly issued or fraudulently obtained points to the extent permitted by law.

32. OFFERS, DISCOUNTS AND PROMOTIONS

Users must not manipulate Ahịa promotions.

Prohibited conduct includes:

• creating multiple identities to claim the same promotion;

• fraudulent referral activity;

• fraudulent coupon use;

• fabricated purchases;

• cancellation-and-repurchase schemes designed solely to exploit promotions;

• false discount claims;

• misleading "before" prices;

• artificial price inflation followed by a purported discount; and

• other conduct designed to create a false impression of promotional value.

Promotions remain subject to their specific terms and applicable law.

33. REPORTING VIOLATIONS

Users are encouraged to report suspected:

• counterfeit goods;

• unsafe products;

• fraudulent activity;

• intellectual-property infringement;

• prohibited products;

• abusive conduct;

• cybersecurity vulnerabilities;

• suspicious transactions;

• illegal activity; and

• other violations of this Policy.

Reports should contain sufficient information for Ahịa to investigate.

Where appropriate, Ahịa may request supporting evidence.

False, malicious or knowingly fraudulent reports may themselves constitute a violation of this Policy.

34. RESPONSIBLE SECURITY DISCLOSURE

Ahịa permits responsible security researchers to report genuine security vulnerabilities in good faith.

A researcher must:

• avoid unnecessary access to personal information;

• avoid disrupting Ahịa services;

• avoid accessing or modifying data belonging to other Users;

• avoid exploiting a vulnerability beyond what is reasonably necessary to establish its existence;

• promptly report the vulnerability to Ahịa;

• preserve confidentiality concerning the vulnerability until Ahịa has had a reasonable opportunity to address it; and

• comply with applicable law.

Ahịa may establish a separate vulnerability disclosure or bug-bounty programme.

Nothing in this section authorises conduct that is otherwise unlawful.

35. REGULATORY AND LAW-ENFORCEMENT COOPERATION

Ahịa may cooperate with competent governmental, regulatory, judicial, law-enforcement and investigative authorities in connection with:

• lawful requests;

• court orders;

• investigations;

• suspected criminal activity;

• fraud;

• consumer protection;

• product safety;

• intellectual-property enforcement;

• cybersecurity;

• data-protection matters;

• financial crime;

• terrorism financing;

• wildlife trafficking;

• regulatory compliance; and

• other matters required or permitted by law.

Such authorities may include, where legally applicable:

• Federal Competition and Consumer Protection Commission;

• Nigeria Data Protection Commission;

• Standards Organisation of Nigeria;

• National Agency for Food and Drug Administration and Control;

• Nigerian Copyright Commission;

• Nigerian Police Force;

• Economic and Financial Crimes Commission;

• Special Control Unit Against Money Laundering;

• Nigeria Financial Intelligence Unit;

• National Identification Management Commission;

• Nigeria Customs Service;

• relevant environmental and wildlife authorities;

• relevant courts and tribunals; and

• other competent Nigerian or foreign authorities.

Ahịa may preserve relevant information where legally required or reasonably necessary for legal compliance, investigation, dispute resolution, security or enforcement.

Where disclosure is legally prohibited, Ahịa will not make the prohibited disclosure.

36. ENFORCEMENT

Ahịa may investigate suspected violations of this Policy.

Depending upon the circumstances, Ahịa may take one or more of the following actions:

• issue a warning;

• request additional information;

• require corrective action;

• remove or restrict a listing;

• remove or restrict content;

• restrict product visibility;

• suspend promotional benefits;

• cancel or restrict a transaction where legally permissible;

• temporarily suspend an account;

• permanently terminate an account;

• delist a Vendor;

• restrict access to specific Ahịa functions;

• reverse fraudulent promotional benefits;

• withhold or reverse funds where legally permissible and subject to applicable contractual and statutory requirements;

• preserve evidence;

• report suspected unlawful activity to competent authorities;

• cooperate with regulatory investigations; or

• pursue legal remedies.

Ahịa may take immediate action without prior warning where reasonably necessary to protect:

• users;

• public safety;

• Ahịa systems;

• personal data;

• intellectual-property rights;

• financial integrity;

• regulatory compliance; or

• the integrity of the marketplace.

37. PROPORTIONALITY OF ENFORCEMENT

Where circumstances permit, Ahịa may consider:

• the seriousness of the violation;

• whether the conduct was intentional;

• whether the conduct is ongoing;

• the potential harm caused;

• previous violations;

• the User's cooperation;

• whether the conduct involves fraud or criminal activity;

• whether public safety is affected;

• whether the violation concerns a regulated product; and

• any other relevant circumstances.

Nothing in this section requires Ahịa to provide prior warning where immediate action is reasonably necessary.

38. APPEALS

A User whose account, listing, content or Vendor status has been restricted or terminated may submit an appeal where Ahịa makes an appeal process available for the relevant enforcement action.

Unless a different period is required by applicable law or specified in the relevant notice, an appeal should be submitted within seven (7) days after the enforcement decision is communicated.

An appeal should:

• identify the relevant User or Vendor;

• identify the decision being appealed;

• explain why the decision should be reconsidered;

• provide relevant evidence; and

• identify any corrective action already taken.

Ahịa may request additional information.

Ahịa will review appeals in good faith and may uphold, modify or reverse an enforcement decision.

Ahịa may decline to disclose confidential information concerning fraud-detection systems, security controls, another person's privacy, confidential investigations or legally protected information where disclosure would create a legal or security risk.

An appeal does not automatically suspend an enforcement action.

39. PRODUCT RECALLS AND SAFETY ACTIONS

Where Ahịa becomes aware that a product may present a significant safety, regulatory or legal risk, Ahịa may:

• remove the product listing;

• prevent further sales;

• notify affected customers;

• notify the Vendor;

• request corrective action;

• facilitate returns;

• facilitate refunds where applicable;

• cooperate with a regulator;

• preserve relevant transaction information;

• restrict related products;

• suspend the Vendor; or

• take other appropriate corrective action.

Vendors must cooperate with lawful recall, withdrawal and safety actions.

40. VENDOR RESPONSIBILITY

Every Vendor is responsible for ensuring that its products and commercial activities comply with:

• this Policy;

• the Ahịa Vendor Agreement;

• applicable Nigerian law;

• applicable regulatory requirements;

• applicable product standards;

• applicable licensing requirements;

• applicable intellectual-property requirements;

• applicable consumer-protection requirements; and

• any category-specific Ahịa requirements.

A Vendor is responsible for the accuracy and legality of its listings.

A Vendor must not assume that Ahịa's publication of a listing constitutes regulatory approval, product certification, legal endorsement or a guarantee of product safety.

41. INDEMNIFICATION AND THIRD-PARTY CLAIMS

To the extent permitted by applicable law and subject to the Ahịa Vendor Agreement, Vendors may be required to indemnify and hold harmless Ahia Technologies Limited, its affiliates, officers, employees, contractors and representatives against claims, losses, liabilities, damages, costs and expenses arising from:

• unlawful products;

• counterfeit goods;

• intellectual-property infringement;

• misleading listings;

• product-safety violations;

• regulatory violations;

• Vendor misconduct;

• breach of this Policy;

• breach of the Vendor Agreement; or

• acts or omissions for which the Vendor is legally responsible.

Nothing in this section excludes or limits liability or statutory rights that cannot lawfully be excluded or limited.

42. NO WAIVER OF MANDATORY RIGHTS

Nothing in this Policy:

• excludes statutory consumer rights;

• removes a consumer's lawful right to redress;

• authorises unlawful discrimination;

• permits fraud or negligence;

• excludes liability that cannot legally be excluded;

• prevents a User from exercising a statutory right;

• prevents a regulator or court from exercising its lawful authority; or

• prevents Ahịa from complying with a mandatory legal obligation.

Where a provision of this Policy is inconsistent with a mandatory requirement of applicable law, the mandatory requirement prevails to the extent of the inconsistency.

43. COUNTRY-SPECIFIC REQUIREMENTS

Ahịa currently operates only in Nigeria.

If Ahịa subsequently becomes available in another jurisdiction, Ahịa may establish jurisdiction-specific policies, restrictions, product rules, age requirements, disclosures and compliance requirements.

A product or activity permitted in one jurisdiction may be prohibited or restricted in another.

Users must comply with all mandatory laws applicable to:

• the User;

• the transaction;

• the location of sale;

• the location of delivery;

• the product;

• importation or exportation;

• advertising;

• payment;

• data processing; and

• any other legally relevant aspect of the transaction.

44. INTERNATIONAL LEGAL COMPLIANCE

Ahịa's policies are designed to operate in accordance with Nigerian law and recognised international principles concerning:

• consumer protection;

• product safety;

• electronic commerce;

• privacy and data protection;

• intellectual property;

• cybersecurity;

• anti-fraud measures; and

• responsible marketplace operation

International principles, guidelines or standards do not automatically replace mandatory Nigerian law.

Where Ahịa later operates internationally, applicable local mandatory laws will be incorporated into Ahịa's jurisdiction-specific compliance requirements.

45. RELATIONSHIP WITH OTHER AHỊA POLICIES

This Policy forms part of Ahịa's broader legal and operational framework.

It should be read together with, as applicable:

• Ahịa Terms of Service;

• Ahịa Vendor Agreement;

• Ahịa Privacy/Data Protection Policy;

• Ahịa Returns and Refund Policy;

• Ahịa Shipping and Delivery Policy;

• Ahịa Advertising Policy;

• Ahịa Intellectual Property Policy;

• Ahịa Points and Rewards Terms;

• Ahịa Product Safety and Recall procedures; and

• any category-specific rules.

If two Ahịa policies address the same conduct differently, the more specific policy applies to the specific subject matter unless prohibited by law.

Nothing in this section permits any Ahịa policy to override mandatory law.

46. CHANGES TO THIS POLICY

Ahịa may amend this Policy when reasonably necessary to:

• reflect changes in law;

• comply with regulatory requirements;

• introduce new products or services;

• address emerging risks;

• improve marketplace safety;

• address fraud;

• improve cybersecurity;

• clarify existing requirements; or

• modify Ahịa's marketplace standards.

Material changes may be communicated through appropriate channels.

The effective date of the current version will appear at the beginning of this Policy.

47. SEVERABILITY

If any provision of this Policy is determined by a competent authority or court to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where legally permissible.

If modification is not possible, the affected provision shall be severed to the extent necessary.

The remaining provisions shall continue in effect.

48. NO TRANSFER OF LEGAL RESPONSIBILITY

A User's access to or use of Ahịa does not transfer the User's legal responsibility for its products, conduct, business operations, regulatory obligations or statutory duties to Ahịa.

Similarly, Ahịa's review, approval, publication, ranking, promotion or continued availability of a listing does not by itself constitute a representation that the relevant product or Vendor satisfies every legal requirement.

Ahịa may conduct verification and compliance checks, but Vendors remain responsible for their own legal obligations.

49. GOVERNING LAW

This Policy is governed by the laws of the Federal Republic of Nigeria, subject to applicable mandatory law and the jurisdiction of competent Nigerian courts and tribunals.

Nothing in this provision prevents a User from exercising a mandatory statutory right before a competent regulatory body, tribunal or court.

50. OFFICIAL CONTACT

Questions, complaints, reports of prohibited activity, suspected counterfeit goods, product-safety concerns, intellectual-property complaints and other policy-related matters may be submitted through Ahịa's designated customer-support, reporting or legal-compliance channels.

Ahịa may publish specific reporting channels for particular categories of complaints.

Users should provide sufficient information to permit Ahịa to identify and investigate the relevant matter.

SCHEDULE 2 — CORE VENDOR OBLIGATIONS

Every Ahịa Vendor must:

• provide truthful business and identity information;

• comply with Vendor verification requirements;

• sell only lawful products;

• maintain all licences, permits, registrations and approvals required by law;

• provide accurate product descriptions;

• disclose used, second-hand and reconditioned goods;

• disclose material product conditions;

• avoid misleading advertisements;

• avoid counterfeit and pirated goods;

• respect intellectual-property rights;

• comply with product-safety requirements;

• comply with applicable NAFDAC requirements;

• comply with applicable SON requirements;

• comply with applicable food-safety requirements;

• comply with applicable wildlife and animal regulations;

• comply with applicable age restrictions;

• cooperate with Ahịa investigations;

• cooperate with lawful product recalls;

• maintain appropriate transaction records;

• protect customer information;

• refrain from taking Ahịa-acquired transactions off-platform;

• refrain from publishing prohibited contact or payment information;

• comply with Ahịa advertising rules;

• cooperate with lawful regulatory requests; and

• promptly correct or withdraw products that become unlawful, unsafe or non-compliant.

SCHEDULE 3 — CORE CUSTOMER OBLIGATIONS

Customers must:

• provide accurate information where required;

• use lawful payment methods;

• purchase products only for lawful purposes;

• comply with applicable age restrictions;

• provide truthful information concerning delivery and returns;

• avoid fraudulent refunds and chargebacks;

• avoid fraudulent non-delivery claims;

• avoid manipulating reviews;

• avoid abusing promotions and points;

• respect Vendors, couriers and Ahịa personnel;

• avoid harassment and threats;

• avoid attempts to circumvent Ahịa systems;

• protect their own authentication information where applicable;

• avoid cyber abuse;

• refrain from fraudulent transactions; and

• cooperate with reasonable investigations concerning suspected fraud or misuse.

SCHEDULE 4 — ZERO-TOLERANCE CONDUCT

Ahịa may take immediate enforcement action for conduct involving:

• terrorism or terrorist financing;

• child sexual exploitation;

• serious threats of violence;

• serious fraud;

• counterfeit medicines;

• dangerous or prohibited products;

• trafficking in protected wildlife;

• stolen goods;

• serious intellectual-property infringement;

• major cybersecurity attacks;

• identity theft;

• payment fraud;

• deliberate marketplace manipulation;

• repeated evasion of previous enforcement;

• sale of prohibited weapons;

• illegal drugs; or

• other conduct presenting a serious risk to users, Ahịa, public safety or legal compliance.

SCHEDULE 5 — POLICY INTERPRETATION

This Policy should be interpreted according to the following principles:

1. Lawfulness

Ahịa will not knowingly facilitate unlawful conduct.

2. Consumer protection

Consumers should receive clear and accurate information and retain all mandatory statutory protections.

3. Vendor accountability

Vendors remain responsible for the legality, authenticity, safety and accuracy of their products and commercial activities.

4. Platform integrity

Fraud, manipulation, abuse and circumvention of Ahịa's systems are prohibited.

5. Privacy

Personal information must be handled lawfully and responsibly.

6. Safety

Ahịa may take precautionary action where products or conduct present a material safety risk.

7. Proportionality

Where circumstances permit, enforcement may take account of the seriousness and circumstances of a violation.

8. Regulatory cooperation

Ahịa may cooperate with competent authorities in accordance with applicable law.

9. International compatibility

Ahịa seeks to maintain standards consistent with recognised international consumer-protection, product-safety, privacy, cybersecurity and electronic-commerce principles while remaining governed by applicable Nigerian law during its Nigerian operations.
